Super League shareholders approved the proposals tied to Metaplanet’s planned 2,100 BTC and cash investment, clearing a major corporate condition while the transfer has not yet happened. The company is set to rebrand as Superplanet and pursue a Nasdaq-listed U.S. Bitcoin treasury platform, with closing expected in Q4 2026.

Key claims & sources

✓
Superplanet is being positioned as a Nasdaq vehicle for raising money from U.S. investors.
✓
The deal is structured to give Metaplanet a 93.7% ownership stake in Super League.
✓
Super League is set to rebrand as Superplanet and trade under the Nasdaq ticker SUPA.
✓
Super League shareholders approved the proposals connected to Metaplanet’s planned 2,100 BTC investment and $2.5 million in cash.
✓
The approval removed a major corporate condition for the transaction, but the Bitcoin and cash have not yet transferred.

What it means

Strategy, formerly MicroStrategy, built the template for corporate Bitcoin treasuries, borrowing and issuing stock to stack BTC on its balance sheet since 2020. Metaplanet copied that model in Tokyo and has spent the past two years turning a hotel operator into Japan's largest corporate Bitcoin holder. Super League Enterprise, a small gaming-media firm, now becomes the shell Metaplanet uses to bring that strategy to Nasdaq, rebranding as Superplanet under an agreement signed on August 18.

Shareholder approval removes a legal condition, not the deal itself: the 2,100 BTC and $2.5 million in cash still sit outside Super League's balance sheet until closing. Current Super League holders keep their shares for now, but face a restructuring that leaves Metaplanet with 93.7% ownership once the transaction completes. Anyone trading the stock today is holding a pre-merger company whose assets, name and ticker are all set to change.

Closing is set for the fourth quarter of 2026, the point at which the 2,100 BTC and $2.5 million cash actually transfer and the Nasdaq listing under SUPA takes effect. Until then, Superplanet exists only on paper. The closing date, not the shareholder vote, is what will confirm whether this becomes a functioning U.S. Bitcoin treasury platform or stalls as another unfinished corporate restructuring.

The move was larger before the first headline than after. That is an observation, not an explanation: the market also moves on things nobody publishes.
